Fujitsu and Tivoli Announce Collaboration to Provide IT Management Solutions for Customers Worldwide

-Joint Initiative Increases Management Options for Customers Worldwide-

Tokyo, November 17, 1999 -- Fujitsu Limited and Tivoli Systems Inc. today announced an agreement of joint cooperation to provide customers worldwide with lower cost, yet more comprehensive manageability of their complex enterprise computing environments. In a four-part collaborative agreement, Fujitsu is to bundle the Tivoli Management Agent on its storage systems, offer Tivoli Storage Manager as a component of the Fujitsu SystemWalker management suite of products, certify several Fujitsu SystemWalker management applications "Tivoli Ready" and join the Team Tivoli partner program. The parties also agreed to proactively investigate other areas for future cooperation.

In addition to this worldwide collaboration, Tivoli Japan, has agreed to offer customers in Japan several Fujitsu SystemWalker management applications and the Tivoli Ready SystemWalker applications through Tivoli Japan's distribution channel.

"Our objective is to support our customers' business in the Internet era by enabling them to more efficiently leverage their overall investment in technology," said Mr. Junji Maeyama, Member of the Board and Software Group President, Fujitsu Limited. "In this relationship with Tivoli, we feel that we have formed a magnificent partnership to deliver high business value to our mutual customers worldwide, through our collective IT management solutions."

"One of Tivoli's key strengths is that of building successful partnerships enabling us to provide the broadest range of IT management solutions available today," said Tivoli Chairman and CEO Jan Lindelow. "Adding the name of Fujitsu to Team Tivoli and Fujitsu products to the list of those certified as Tivoli Ready and integrating the Tivoli Management Agent underscores the increasing importance of ease-of-use and return on investment to organizations worldwide. Together, Tivoli and Fujitsu can offer customers an unprecedented level of enterprise manageability."

Adopting the Tivoli Management Agent, which has shipped on approximately 10 million devices this year, will enable Fujitsu customers to reduce the complexity of implementing Tivoli Enterprise technology management software by decreasing deployment time and total cost of IT ownership. Initially, the Tivoli Management Agent will be installed on Fujitsu's storage systems, currently under development, making them Tivoli Ready and able to be managed out-of-the-box, providing organizations a more comprehensive and cost effective storage management solution.

Fujitsu also has signed a Tivoli OEM agreement to supply the recently announced Tivoli Storage Manager 3.7 as part of SystemWalker, which is one of the leading systems and network management suite of products in Japan for enterprise customers. Through its application-centric view, Tivoli Storage Manager (formerly known as IBM and Tivoli ADSM) allows companies to centrally manage an ever-increasing amount of information as an integral part of the business. Tivoli Storage Manager is a core component of Tivoli's recently announced Information Integrity Initiative that allows organizations to link key business practices with storage management policies, enabling customers for the first time to use information to drive their business, rather than simply support it.

In addition to integrating Tivoli Storage Manager with SystemWalker, Fujitsu plans to provide modules for several of SystemWalker's other main components, such as SystemWalker/OperationMGR and SystemWalker/PerfMGR, to be integrated with Tivoli Enterprise. These components will then undergo certification tests to ensure the tight integration, quality, reliability and service with which the Tivoli Ready logo has come to be associated.

Fujitsu has joined Team Tivoli as a Product Partner. Team Tivoli is a worldwide community of qualified systems integrators, solutions providers and resellers trained to provide customers sales, implementation and professional services for supporting Tivoli's IT management solutions. Team Tivoli partners help customers leverage existing investments, minimize product integration and customization efforts by providing partner products or services when implementing enterprise management solutions. Currently, Team Tivoli comprises more than 1,000 member companies, including over 650 business partners, 150 Tivoli Ready solutions providers, and hundreds of other services, training and product partners focused on reducing planning and deployment times, and delivering optimized management solutions to customers of all sizes.

Fujitsu's SystemWalker suite of applications provides customers with proven management capabilities. These applications include SystemWalker/ OperationMGR, a job management suite; SystemWalker/PrintMGR, a high- performance print spool manager; SystemWalker/PerfMGR, a client-server capacity management product; and SystemWalker/ListWORKS, a data reporting application that displays mainframe output data on Windows systems.

"We believe this mutual collaboration holds great promise for enterprise customers," said Fujitsu's Mr. Maeyama. "We are currently investigating many future projects, with the initial focus on enterprise management in the Internet era."
