Fujitsu Consolidates Domestic Subsidiaries to
Strengthen Network Solutions Business

Tokyo, July 9, 2001 - Fujitsu Limited today announced a basic agreement whereby the operations of four of its Japan-based subsidiaries - Fujitsu Systems Construction Ltd. ("FJSC"), Fujitsu Network Engineering Ltd. ("FNE"), Fujitsu Information Network Systems Ltd. ("FJI"), and Fujitsu International Engineering Ltd. ("FIE") - will be consolidated with the goal of pooling their strengths to boost the Fujitsu Group's competitiveness in the field of network solutions. Implementation schedule and other details of the consolidation, which is scheduled to take effect from October 1, 2001, will be finalized through upcoming consultations among the companies.

Background & Objectives
With the emergence of the broadband era and the development of various network-based services, the Internet-based IT revolution is changing the face of business as well as people's lifestyles, and customer needs are expected to become increasingly diverse in the future. In order to offer services that meet these diverse customer needs, it will be necessary to develop networks with higher speeds and higher capacity along with comprehensive network solutions.

Against the backdrop of these market changes as well as the promotion of the e-JAPAN electronic government concept, Fujitsu has decided to consolidate the operations of the above-mentioned four companies into a new corporate entity, expected to be called Fujitsu Network Solutions Ltd. The purpose of the consolidation is to revise and strengthen the Fujitsu Group's business structure as a provider of one-stop solutions - from network planning and consultation to network design and construction, systems integration, software development, maintenance and operation - for service providers (carriers and xSPs), public and enterprise networks in Japan and the broader Asian market. The integration of the four companies will enable the concentration of their respective network construction/operations skills into a single company that allows resources to be used more effectively.

The Fujitsu Group is currently enhancing its network solutions business structure in North America and Europe, and through this planned consolidation will put into place a three-pronged organizational structure for offering one-stop solutions worldwide.
