Minolta and Fujitsu Sign Information System Outsourcing Agreement

Establish a Joint Venture for the IT Services Business

Osaka and Tokyo, September 25, 2002 - Minolta Co., Ltd. and Fujitsu Limited today announced that the two companies have signed an information systems outsourcing agreement. In conjunction with this agreement, the two companies established a joint venture, called FAMOUS Co., Ltd., on September 20, 2002 to advance their business alliance in information technology (IT) services, including system consulting and system architecture. The new company will start operation on October 1, 2002.

The effective use of IT has become an increasingly important determinant of the growth potential and competitiveness of a company. Strategic uses of IT and improvement in the quality of information systems, as well as maximization of investment in IT, have become major concerns.

Responding to these concerns, FAMOUS Co., Ltd. will provide outsourcing services to Minolta and its group companies in order to promote strategic use of IT, improve the quality of IT services, optimize IT investment, and develop new system architecture. At the same time, leveraging Minolta's accumulated know-how in information systems and Fujitsu's strong sales power and advanced technology, the new joint venture plans to expand sales to outside companies focusing on SAP/R3(*1) consulting.

Minolta has comprehensive experience and achievements in establishing worldwide Enterprise Resource Planning (ERP) by employing SAP/R3 in its business-critical systems. Minolta also has expertise from years of experience in the engineering systems field, including Computer Aided Design (CAD) and Product Data Management (PDM). Fujitsu has outstanding technological capabilities, as well as management skills and know-how in the IT services business. Bringing together the advantages of both companies, FAMOUS Co., Ltd. aims to become a competitive IT services company in its own right.

The new joint venture will initially focus on business with Minolta and its group companies, but it plans to expand the scope of its services to appeal to other companies, aiming at an outside sales ratio of 50% in five years.
