NCR and Fujitsu Form Strategic Alliance to
Enhance ATM Technology Leadership

Collaborative R&D and supply of ATM products and technology
Dayton, Ohio/Tokyo, Japan - April 11, 2002 - NCR Corporation (NYSE: NCR) and Fujitsu Limited (TSE: 6702) today announced the formation of a strategic alliance to collaborate on joint research and development (R&D) and supply of products and technology for automated teller machines (ATMs).

The collaboration aims to enhance R&D efficiency and accelerate the time to bring new ATM products to market. The companies will establish a joint team to develop selected new ATM technologies to introduce into their respective products. NCR and Fujitsu will continue to compete in the distribution, sale and servicing of ATMs as separate organizations.

NCR is the global ATM leader, with a wide range of self-service solutions and an extensive worldwide sales and support network. Fujitsu, which also competes globally, holds top share in Japan's ATM business, where advanced ATM technologies have become widespread.

"In addition to pursuing joint R&D, our alliance will enable more efficient time to market for financial self-service products," said Keith Taylor, senior vice president of NCR's Financial Solutions Division. "We believe that combining the strengths of the two companies will lead to new innovative ATM solutions. This will benefit not only NCR and Fujitsu, but also our customers and the consumer. Increased consumer satisfaction is the key to expanding our market presence and delivering greater profit and growth to our respective financial self-service businesses."

"Increasing globalization, diffusion of Internet technologies, new clearing methods and blurring of borders between financial and retail industries are among the significant changes taking place in the financial services industry and creating growing demand for more technologically sophisticated financial self-service solutions," said Koichi Hironishi, group president of the Consumer Transaction Systems Group at Fujitsu. "Combining Fujitsu's and NCR's complementary development strengths will enable us to meet these requirements more quickly and cost-effectively than either could do alone."
